Introducing the 2020 HSG board candidates
HSG is pleased to announce the names of 22 candidates who are standing for 2020 Board elections. Between April 1st – 12th, candidates will be campaigning, and we encourage you to familiarize yourself with the candidates’ CVs, statements and responses to your questions. Voting will open on April 13th and an email with a link to vote will be sent to all HSG members. If you would like to be able to vote in this election, you must become an HSG member, if you are not already.
Please note that in addition to voting for a preferred Board candidate HSG members are also asked to vote on amending Article 15 of the Societal bylaw, which is proposed at the Request of Swiss Tax authorities.
When you log on to the voting website, step one is to vote for a nonmaterial bylaw amendment which includes following text (the amended text is provided in bold):
Article 15. Dissolution or Merger of the Society
15.1 The Society can be merged or dissolved by resolution at the general assembly.
15.2 A resolution to dissolve shall be passed in so far the minimum number of Board members do not present for election, and/or if the general assembly by a 75% majority vote calculated on basis of votes actually cast, resolve to adopt a proposal made by the Board to dissolve the Society.
15.2(a) A resolution to merge shall be passed if the general assembly by a 75% majority vote calculated on basis of votes actually cast, resolve to adopt a proposal made by the Board to merge the Society.
15.2 If the Society is dissolved, the General assembly shall appoint one or several receivers in order to proceed to the liquidation of the Association.
15.3 At the decision of General Assembly a merger can only take place with another legal entity domiciled in Switzerland that is exempt from tax for public benefit or for public purposes. And In the event of a dissolution, the profit and capital will be transferred to another legal entity domiciled in Switzerland that is exempt from tax for public benefit or for public purposes.
Voting for a board member entails a three-step process:
- When you log on to the voting website, step one is to vote for candidates standing for the General seat. All HSG members in a good standing (i.e. who have paid their membership dues) will be invited to cast their vote and each member will be allowed to choose four preferred candidates on the list.
- On the next page, voting members will be requested to identify her/himself with one of the WHO regions.
- Based on the region selection, voters will be directed to the list of candidates standing for the voter’s region. Regional candidates will be elected only by those belonging to this region, and members will only be allowed to cast one vote for a regional candidate. Please Note: for the 2020 Board election there are only three regional seats for election, which includes (i) African Seat; (ii) Middle Eastern Seat and (iii) Americas Seat. HSG members that do not live or work in these regions will finish voting after completing the second step.
